Terms of Service

These Terms of Service ("Terms") govern your access to and use of Mainspring, operated by Hosten Growth Partners ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Mainspring is a project-management tool for small businesses, including task tracking, scheduling, time tracking, expense and invoice management, and team collaboration features.

2. Accounts

You must be at least 18 years old to create an account.
You are responsible for maintaining the confidentiality of your password and for all activity under your account.
You must provide accurate information and notify us if you suspect unauthorized access at support@hostengp.com.
Each individual user must have their own account. You may not share login credentials.

3. Subscription plans and billing

We offer Free, Team, and Business plans as described on our Pricing page.
Paid subscriptions are billed monthly in advance via Stripe.
All fees are exclusive of taxes, which you are responsible for.
No refunds for partial months. If you cancel, your subscription remains active through the end of the billing period and will not renew.
We may change plan pricing on at least 30 days' written notice. Price changes apply to the next renewal cycle.
If a payment fails and is not resolved within 14 days, we may suspend access to paid features until the issue is resolved.

4. Acceptable use

You agree not to:

Violate any law or third-party rights.
Upload malware, exploit vulnerabilities, or interfere with the Service's operation.
Reverse-engineer, scrape, or resell the Service.
Use the Service to send spam, phishing, or other abusive communications.
Store regulated personal data (e.g., protected health information, payment card data, government IDs) unless you have confirmed in writing that we support such use case. The Service is not a HIPAA- or PCI-compliant environment by default.

5. Your content

You retain ownership of all content you upload, create, or store in the Service ("Customer Content"). You grant us a limited license to host, process, and display Customer Content as necessary to provide the Service to you.

You are responsible for the lawfulness of your Customer Content and for obtaining any consents required from your end users (e.g., your team members or clients).

6. Our intellectual property

The Service, including its software, design, and trademarks, is owned by Hosten Growth Partners and its licensors. These Terms do not grant you any rights to our IP except the limited right to use the Service.

7. Termination

By you: you may close your account at any time via account settings. Your data will be deleted as described in our Privacy Policy.
By us: we may suspend or terminate your account for material breach of these Terms, fraud, or risk to the Service. Where reasonable, we will provide notice and an opportunity to cure.
On termination, your right to use the Service ends immediately. Sections 5, 6, 8, 9, 10, and 11 survive termination.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HOSTEN GROWTH PARTNERS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify and hold harmless Hosten Growth Partners from any claims arising out of your Customer Content, your breach of these Terms, or your violation of applicable law.

11. Governing law and disputes

These Terms are governed by the laws of [State — fill in], without regard to its conflict of law provisions. Any dispute will be resolved in the state or federal courts located in [County, State — fill in]. You and we waive the right to a jury trial and to participate in class actions to the extent permitted by law.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email or in-app notice at least 14 days before taking effect. Your continued use of the Service after the effective date constitutes acceptance.
